Terms of Service

Binding terms for merchants using the Cartpo app and cartpo.com.

1. Agreement to Terms

These Terms of Service (“Terms”) are a binding agreement between you (“Merchant,” “you,” or “your”) and Cartpo, a product of the iHolda platform (“Cartpo,” “we,” “us,” or “our”). They govern the Cartpo mobile application, the website at cartpo.com, and related services (collectively, the “Services”).

By creating an account or using the Services, you confirm you are at least 18, have authority to bind your business where applicable, and agree to these Terms, our Privacy Policy, and applicable iHolda Merchant & Commerce Terms for cross-platform commerce features.

2. Description of Services

Cartpo is a merchant-facing mobile commerce platform. The cartpo.com website is informational; account creation, subscriptions, verification, POS, and order management occur in the Cartpo mobile app.

  • Mobile point of sale (cash and direct payment flows), change calculation, and transaction records.
  • Sales monitoring, summaries, and product performance views.
  • Product and catalog management, including offline drafts that sync when online.
  • Discount and loyalty programs based on rules you configure.
  • Social commerce via iHolda when you connect your shop.
  • Creator collaboration requests, commission settings, and referral tracking.
  • Order and delivery status management.
  • Membership plans with feature limits (menu items, linked creators, paid events on iHolda).
  • Merchant business verification and optional manual verification fee.

3. Account registration and security

  • You must register with a valid phone number, complete OTP verification, and set secure credentials as prompted in the app.
  • You must be at least 18 years old and have authority to bind your business (or the entity you represent).
  • Keep credentials confidential and notify support@iholda.com if you suspect unauthorised access.
  • One Cartpo account per business entity unless we approve otherwise; duplicate accounts may be merged or suspended.

4. Acceptable use

You must use Cartpo lawfully. You must not sell prohibited goods, create fictitious sales, manipulate analytics or discounts, misrepresent products, interfere with the Services, reverse-engineer the app, scrape data without permission, or upload infringing or abusive content. We may investigate and suspend or terminate accounts for violations.

5. Merchant obligations

  • Comply with applicable laws (consumer protection, food safety, tax, data protection, and sector rules).
  • Maintain accurate business, product, pricing, and order information.
  • Handle End-Customer relationships, returns, and support for goods and services you sell.
  • Calculate, collect, and remit taxes; Cartpo does not provide tax advice or collect taxes on your behalf unless clearly stated for a specific checkout flow.

6. Membership plans, trials, and billing

Cartpo offers subscription tiers shown in the app (including Standard, Premium, Pro, and Max). Standard is free; paid tiers are billed monthly in USD through third-party checkout (for example Stripe), at prices displayed at purchase (currently Premium USD 12, Pro USD 20, and Max USD 50 per month, subject to change with notice).

  • A one-time 14-day trial per merchant account may be available for eligible paid tiers as shown in-app.
  • Plan features include limits such as menu item caps on certain tiers, caps on linked iHolda creators (Standard: none; Premium: up to five; Pro and Max: unlimited), and eligibility for paid events on iHolda when identity-linked and otherwise qualified.
  • Upgrades, downgrades, renewals, and cancellations are handled through in-app subscription flows and the relevant app store or payment provider terms where applicable.
  • Failure to pay may revert features to Standard or suspend paid capabilities.
  • We may change plan names, prices, or limits with at least thirty (30) days’ notice where required; continued use after the effective date constitutes acceptance.

7. Merchant business verification

We may require verification before certain features (for example enhanced trust badges or sell-live eligibility on iHolda). You agree to provide accurate documents and information. Manual verification may require a one-time fee (currently USD 10 where offered) processed via Stripe or Paystack. We may approve, reject, or request more information at our discretion.

8. iHolda integration and identity link

  • Connecting your shop shares business and catalog data with iHolda for discovery and orders as controlled in-app.
  • Identity link: when your merchant email matches an iHolda consumer account, you may approve an owner link so that consumer can operate owner-level selling features. Owner link is separate from approving individual Creators.
  • Paid events, go-live selling, and creator link caps depend on your Cartpo plan, verification status, shop setup, payout configuration, and iHolda’s Merchant & Commerce Terms.
  • You may unlink through in-app settings; unlinking may disable dependent features on iHolda.

9. Creator collaborations

You may approve or reject Creator collaboration requests. When approved, you must honour commission structures you set. Cartpo does not guarantee Creator performance or audience results. Commission calculation and settlement follow in-app rules and backend configuration.

10. Orders, delivery, and refunds

  • You are responsible for fulfilling orders placed via POS or iHolda and for accurate order statuses.
  • Delivery coordination may involve third parties; Cartpo provides tracking tools but is not the courier unless explicitly stated.
  • You set cancellation and refund policies for End-Customers; statutory consumer rights still apply where mandatory.

11. Payments and payouts

Card and local payment methods for subscriptions, verification fees, and customer checkout (where enabled) are processed by third-party providers (such as Stripe, Paystack, or Korapay). You authorise charges you initiate. Merchant payout accounts you configure are used to settle eligible sales per our payment flows; we do not store full payment card numbers on Cartpo servers.

12. Intellectual property

  • Cartpo software, branding, and documentation are owned by or licensed to us. You receive a limited, revocable licence to use the Services for your internal business operations.
  • You retain ownership of content you upload and grant us a licence to host, display, and distribute it as needed to operate the Services (including on iHolda when integration is enabled).
  • Feedback you provide may be used without restriction or compensation.

13. Data and privacy

Our Privacy Policy describes how we handle personal data and is incorporated by reference. You are responsible for lawful handling of End-Customer data you collect as a merchant.

14. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation. We do not guarantee analytics accuracy, Creator results, or the quality of third-party goods or services sold through your shop.

15. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Our aggregate liability for claims relating to the Services shall not exceed the greater of (a) fees you paid to Cartpo in the twelve (12) months before the claim, or (b) USD 100. Some jurisdictions do not allow certain limits; in those cases our liability is limited to the maximum permitted.

16. Indemnification

You agree to indemnify Cartpo and its affiliates against claims arising from your use of the Services, your products, your breach of these Terms, your End-Customer interactions, or your violation of law or third-party rights.

17. Suspension and termination

  • You may request account closure by contacting support@iholda.com.
  • We may suspend or terminate accounts for violations, fraud risk, legal requirements, or harm to the platform, with notice where practicable.
  • Surviving sections include intellectual property, disclaimers, liability, indemnity, and governing law.

18. Changes to the Services and Terms

We may modify features or these Terms. Material Terms changes will be notified through the app, email, or cartpo.com at least thirty (30) days before taking effect where required. If you disagree, stop using the Services and close your account.

19. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Courts in England and Wales have exclusive jurisdiction over disputes arising from these Terms or the Services, except that either party may seek injunctive relief in any competent court. Before formal proceedings, contact support@iholda.com to attempt informal resolution for at least thirty (30) days.

20. General provisions

  • These Terms and the Privacy Policy are the entire agreement regarding Cartpo.
  • If a provision is unenforceable, the remainder stays in effect.
  • Failure to enforce a right is not a waiver.
  • You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
  • We are not liable for delays beyond our reasonable control (force majeure).
  • Notices may be sent via the app, your account email or phone, or cartpo.com.
